1. Acceptance of Terms

By accessing or using the Pinnacle Docs, Inc. website, platform, or Services ("Platform"), you acknowledge

and agree to the following terms and conditions. Your continued use of this Platform constitutes your

acceptance of these Terms and Conditions. If you do not agree with any part of these Terms and

Conditions, you must discontinue use immediately.

2. Description of Services

Pinnacle Docs, Inc. provides an all-in-one SaaS platform designed for Transaction Coordinators to manage

their workload. The Platform includes a secure portal where all project parties can log in to review

contracts prior to generation and manage their information (e.g., addresses, phone numbers, operating

agreements, articles of incorporation, etc.). The system also supports contract generation, in-app

communication, file storage, and team management (including multi-TC teams). All services are provided

subject to these Terms.

3. User Accounts and Security

You must create an account to use certain features. You are responsible for maintaining the confidentiality

of your account credentials and for all activities that occur under your account. You agree to notify us

immediately of any unauthorized use.

4. User Content and License Grant

You retain ownership of all User Content You upload or generate on the Platform. By submitting User

Content, You grant Pinnacle Docs, Inc. a worldwide, royalty-free, non-exclusive, perpetual, irrevocable,

sublicensable license to host, store, use, reproduce, modify, create derivative works from, distribute, and

display Your User Content solely to the extent necessary to provide the Services, including generating

contracts, enabling e-signatures, facilitating team collaboration, and training, developing, and improving

our AI models and features. You represent and warrant that You have all rights necessary to grant this

license and that Your User Content does not infringe any third-party rights.

5. No Legal Advice Disclaimer

THE PLATFORM AND ANY CONTRACTS GENERATED, REVIEWED, OR STORED WITHIN IT ARE FOR

INFORMATIONAL AND ADMINISTRATIVE PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, FINANCIAL,

TAX, OR PROFESSIONAL ADVICE. Pinnacle Docs, Inc. is not a law firm and does not provide legal services.

No attorney-client relationship is formed by Your use of the Platform.

All contracts are provided "AS IS" and are generated based solely on the information and selections You

or other parties provide. You are solely responsible for the accuracy, completeness, legality, and

enforceability of any contract or document. You must have every contract reviewed and approved by Your

own qualified attorney before use or execution. Pinnacle Docs, Inc. expressly disclaims all liability for any

errors, omissions, or consequences arising from the use of generated or reviewed contracts. Users must

acknowledge and agree that they will not rely on the Platform as a substitute for professional legal

counsel.

6. No Liability for Services or Advice

This Platform may contain general guidance related to contract management, transaction coordination,

or real-estate processes. However, any information or output provided is not a substitute for professional

advice. Pinnacle Docs, Inc. disclaims all liability related to decisions made based on the Platform’s content

or generated documents. Users should always consult a qualified professional before making decisions

based on Platform content.

7. External Links & Third-Party Content / Integrations

The Platform integrates with third-party services such as DocuSign for e-signatures. These are provided

for convenience only. We do not endorse, control, or assume liability for third-party services. You

acknowledge that Pinnacle Docs, Inc. is not responsible for the content, policies, security, or performance

of external services. Review their terms and privacy policies separately.

8. No Guarantees or Warranties

Pinnacle Docs, Inc. provides this Platform on an “AS-IS” and “AS-AVAILABLE” basis. We make no

warranties, express or implied, regarding:

• The accuracy or reliability of the Platform content or generated contracts.

• The availability or uninterrupted operation of the Platform.

• The safety or security of user-submitted information.

• The fitness of any services, products, or recommendations made on this Platform.

To the fullest extent permitted by law, Pinnacle Docs, Inc. disclaims all warranties, including but not

limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Pinnacle Docs, Inc., its owners, affiliates, employees,

and contractors shall not be liable for any direct, indirect, incidental, consequential, or punitive damages

arising from:

• The use of, or inability to use, this Platform.

• Any reliance on information or contracts provided or generated on this Platform.

• Errors, inaccuracies, or technical failures.

• The conduct or actions of third parties, including other users or service providers.

This limitation applies regardless of the legal theory under which the claim arises, including negligence,

contract, strict liability, or any other cause of action.

10. Prohibited Conduct

You agree not to: (a) use the Platform for any illegal purpose; (b) upload content that infringes rights or

contains harmful code; (c) attempt to reverse-engineer the Platform or AI models; (d) share access

credentials improperly; or (e) use the Platform in any way that interferes with its operation.

11. Intellectual Property

The Platform, all underlying software, AI models, designs, and content (excluding Your User Content) are

owned by Pinnacle Docs, Inc. or its licensors. You receive only a limited, revocable license to use the

Services during your subscription.

12. Termination

We may terminate or suspend your access at any time for violation of these Terms or for any other reason.

Upon termination, Your right to use the Platform ceases, but certain licenses (e.g., for previously used

data in AI training) survive.

13. Privacy & Security Risks

While we take reasonable measures to protect user data, no platform or online transmission is completely

secure. Pinnacle Docs, Inc. cannot guarantee the security of information submitted through the Platform.

By using this Platform, you acknowledge that:

• You are responsible for safeguarding your own personal information and User Content.

• Pinnacle Docs, Inc. is not liable for unauthorized access, data breaches, or cyberattacks that may

affect your data.
